LARGE HYDRO POWER GENERAION PROJECTS

AQLAAL acted as Project Counsel for the following large hydro power generation projects.  Being a project counsel the firm was engaged to advise on the matters during the feasibility study of the project, to advise the local sponsors on the joint ventures with the foreign investors, to negotiate the concession agreements for the project with the Governments of Pakistan and AJK, to assist the project’s sponsors in finalizing the financing documents for the project, to advise on the legal matters in acquisition of the land and on EPC contracts, to assist the sponsors in financial closing of the project and other related matters and to advise on post financial close matters with the lenders and EPC contractors:

  • 720 MW Karot Hydropower Project, Rawalpindi, Pakistan (Financial closing achieved in February 2017; Commissioning is scheduled in 2022)
  • 520 MW Kaigah Hydropower Project, Pakistan (Project withdrawn/terminated by Government during development stage)
  • 260 MW Karrang Hydropower Project, Pakistan (Project withdrawn/terminated by Government during development stage)
  • 135 Taunsa Hydropower Project, Pakistan (Project withdrawn/terminated by Government during development stage)

SMALL HYDEL GENERATION PROJECTS

AQLAAL acted as Project Counsel for the following small hydro power generation projects:

  • 11 MW Balloki-Sulemanki Link-I Canal Hydropower, Karsur, Punjab, Pakistan
  • 05 Jhing-II Hydropower Project, Azad Jammu and Kashmir

The Firm has also drafted and negotiated the Energy Purchase Agreement and Implementation Agreement for following REDSIP Projects undertaken by provincial power development bodies:

  • 7.2 MW Marala Hydropower Project
  • 3.2 MW Pakpattan Hydropower Project
  • 4 MW Okara Hydropower Project
  • 5.4 MW Chianwali Hydropower Project
  • 5 MW Deg-Outfall Hydropower Project

The Firm was also engaged by Alternative Energy Development Board (AEDB) for drafting of standardized security documents for upfront tariff based Small Hydro Power Projects. Services included advising AEDB on miscellaneous issues arising out of NEPRA’s tariff and then adapting the cost-plus wind Energy Purchase Agreement (EPA) and Implementation Agreement (IA), and the standard hydel documents of Private Power and Infrastructure Board (PPIB) into a revised form compatible with NEPRA’s tariff.

AQLAAL acted as Project Counsel for the following wind power generation project(s): 

  • 50 MW Three Gorges First Wind Farm, Sindh, Pakistan

The Firm has drafted and negotiated Project Documents for the following wind energy projects for the Alternative Energy Development Board (AEDB) and has advised on matters related to the issuance of Letter of Intent (LOI) and Letter of support (LOS) under the Policy for Development of Renewable Energy for Power Generation 2006, review of the term sheet (where applicable) and assisted AEDB in financial close of the projects:

The Firm has also acted for the Private Power and Infrastructure Board (PPIB) in assignments entailing negotiations and drafting of Implementation Agreements (IA) and Power Purchase Agreements (PPA) with Independent Power Producers (IPP) consequent on refinancing and capacity expansion arrangements.  The Firm also acted in evaluation of bid documents for a large number of solicited projects.  The Firm has advised PPIB in impact assessments on the project documentation consequent upon the likely competitive market structure sought to be implemented by the regulator.

 

 

The Firm was part of consulting consurtium engaged by the Pakhtunkhwa Energy Development Organization, Government of Khyber Pakhtunkhwa (KPK) on restructuring of sale of electricity from its 18 MW Pehur Hydro Power Project to the bulk power consumers of KPK. Project entailed restructuring of the sales transaction from Pehur project to bulk power consumers in KPK using wheeling over PESCO’s network.

  • Developing contractual framework for wheeling transaction
  • Advising on legal implications of BPC sales
  • Advising on tariff and other regulatory matters for the proposed transaction
  • Advising on pros and cons of dedicated interconnection versus wheeling

The Firm acted for AEDB in collaboration with Tetra Tech, Inc. USA (Pakistan Office) for preparation of RFP documents for competitive bidding proposed to be conducted for wind project and solar projects. The RFP documents are first of its own kind documents after the Government’s and regulator’s decision in respect of the policy shift for procurement of power from the RE generation projects.  The Government and the regulator have decided to move from upfront tariff regime to competitive bidding for procurement of power from RE generation projects and the Firm has been mandated to prepare the RFP documents.
